Marketplace Developer Terms

1. Introduction and Scope

These Marketplace Developer Terms (“Developer Terms”) govern your participation as a developer (“Developer,” “you”) in the Agentic Marketplace operated by Agentic Tech LLC (“Agentic,” “we,” “us”). By submitting an agent to the Marketplace, you agree to these terms in addition to our general Terms of Service and Privacy Policy.

These terms cover the listing, sale, distribution, and support of AI agents (“Agents”) through the Agentic Marketplace at agentic-plugin.com/marketplace/.

2. Developer Registration

  • You must create a developer account with accurate, complete information.
  • You are responsible for all activity under your account.
  • You must maintain a valid email address for communication about your listings.
  • Accounts may be suspended or terminated for violations of these terms.

3. Intellectual Property and Licensing

3.1 Ownership

You represent and warrant that you own or have all necessary rights, licenses, and permissions to submit, distribute, and sell each Agent. You retain ownership of your code.

3.2 GPL Compatibility

All Agents must be licensed under the GNU General Public License v2 or later (GPLv2+), or a GPL-compatible license. All included third-party code, libraries, and assets must also be GPL-compatible.

3.3 License Grant to Agentic

By submitting an Agent, you grant Agentic a non-exclusive, worldwide, royalty-free license to host, distribute, display, and promote your Agent on the Marketplace. This license continues for existing buyers after termination.

3.4 Trademarks

You may not use “Agentic,” “Agent Builder,” “WordPress,” or other trademarked names in your Agent slug or title without written authorization. Third-party brand references must follow the format “Agent Name for Brand” rather than “Brand Agent Name.”

4. Code Quality and Security

4.1 Technical Standards

  • Agents are declarative: a valid agent.json manifest plus an abilities.json file declaring tools and risk levels.
  • No PHP or other executable code — Agents run sandboxed inside Agent Builder.
  • WordPress 6.4+ with a current Agent Builder version required.
  • No hard-coded API keys, credentials, or secrets.
  • Declared capabilities must match what the Agent actually does.

4.2 Security Requirements

  • No backdoors, malware, tracking scripts, or malicious instructions.
  • abilities.json must honestly declare every tool and its risk level — undeclared capabilities are grounds for rejection.
  • Agents must not exfiltrate site data, credentials, or user content.
  • Security vulnerabilities must be reported to [email protected] and addressed within 30 days of discovery.

4.3 Data Handling

  • Agents that process personal data must comply with GDPR, CCPA, and applicable privacy laws.
  • Obtain explicit user consent before collecting or transmitting data to external services.
  • No unauthorized tracking, analytics, or external data transmission.
  • Clearly document any third-party API connections in your Agent’s README.

5. Submission and Review Process

5.1 Requirements

Each submission must include:

  • A complete agent.json manifest (name, description, version, author, category).
  • An abilities.json manifest declaring tools and risk levels.
  • A README.md with usage instructions and tool documentation.
  • All assets bundled in a single ZIP archive.
  • Accurate description, category, version, and pricing information.

5.2 Review

All submissions undergo a security and quality review before being published. Reviews typically take 1–2 business days. We may request changes before approval.

5.3 Rejection

Rejected submissions receive detailed feedback. You may resubmit after addressing the issues. Repeated rejections for the same issues may result in a temporary listing pause.

6. Revenue Share and Payouts

6.1 Commission

Agentic retains 30% of the gross sale price. You receive 70% after deducting payment processing fees, refunds, and chargebacks.

6.2 Payouts

  • Minimum payout threshold: $50 USD per month.
  • Payouts processed monthly via Stripe Connect.
  • You are responsible for all applicable taxes on your earnings.
  • Agentic will provide tax documentation (1099 for US developers) where required.

6.3 Holds and Adjustments

If your refund rate exceeds 15% in any rolling 30-day period, Agentic may hold 25% of future payouts for 90 days. Chargebacks are deducted from future payouts.

7. Updates and Support

  • You are responsible for maintaining your Agent, including security patches and compatibility updates.
  • Security patches must be released within 30 days of vulnerability discovery.
  • Compatibility with WordPress core updates required within 90 days of a major release.
  • You must provide reasonable support to buyers via Agentic’s support channels.
  • Abandoned Agents (no updates for 12+ months) may be delisted with 30 days’ notice.

8. Marketplace Conduct

8.1 Prohibited Activities

  • Distributing Agents containing malware, backdoors, or exploitable vulnerabilities.
  • Manipulating reviews, ratings, or download counts.
  • Creating deceptive listings with misleading descriptions or screenshots.
  • Harvesting buyer data for unauthorized marketing.
  • Reverse engineering other developers’ Agents without permission.
  • Creating multiple accounts to circumvent restrictions.

8.2 Content Standards

Agents must not generate illegal, harmful, or discriminatory content. Agents using third-party AI APIs (OpenAI, Anthropic, Google, etc.) must comply with those providers’ usage policies.

9. Removal and Suspension

9.1 Immediate Removal (No Notice)

  • Confirmed security vulnerabilities or malware.
  • Copyright or intellectual property infringement (DMCA takedown).
  • Fraud or payment manipulation.

9.2 Removal with 30 Days’ Notice

  • Persistent unresolved issues after feedback.
  • Poor support quality affecting buyer satisfaction.
  • Abandoned Agents with no updates for 12+ months.
  • Trademark or branding violations.

9.3 Account Suspension

Multiple violations, fraud, or harassment may result in permanent account suspension, preventing all future submissions.

10. Refund Policy

Agentic manages all refund requests in accordance with our Refund Policy. You may not set custom refund terms that conflict with the Marketplace refund policy. Excessive refund rates may result in delisting.

11. Indemnification

You agree to indemnify and hold harmless Agentic Tech LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your Agents, your violation of these terms, or your infringement of any third-party rights.

12. Limitation of Liability

Agentic’s total liability to you is limited to the amounts actually paid to you in the 12 months preceding any claim. Agentic is not liable for lost profits, data, business interruption, third-party API changes, or actions of Marketplace buyers.

13. Termination

  • Either party may terminate with 30 days’ written notice.
  • Agentic may terminate immediately for material violations.
  • Upon termination, your Agents remain available to existing buyers but are removed from new listings.
  • Final payout is processed within 60 days of termination.

14. Dispute Resolution

Disputes must first be raised via email to [email protected] with a 30-day informal resolution period. Unresolved disputes are subject to binding arbitration under the American Arbitration Association (AAA) rules, conducted in Atlanta, Georgia or remotely.

15. Governing Law

These terms are governed by the laws of the State of Georgia, USA. For EU/EEA developers, mandatory consumer protections under local law apply where they cannot be waived.

16. Changes to Terms

Agentic may modify these terms with 30 days’ written notice via email. Material changes are also posted on the Website. Continued listing of Agents after the notice period constitutes acceptance.
