Affiliate Program Terms & Conditions

By joining the Agent Builder Affiliate Program — whether by submitting an application, receiving an affiliate link, or promoting any Agent Builder product — you agree to be bound by these Terms & Conditions in their entirety. If you do not agree, do not participate in the program.

1. Eligibility & Application

1.1 Who May Apply

The program is open to individuals and entities who (a) are at least 18 years old, (b) have a legitimate online presence (website, YouTube channel, newsletter, podcast, social media following, or community), and (c) agree to promote Agent Builder honestly and in accordance with these Terms.

1.2 Application Review

All applications are reviewed manually. We approve based on audience relevance and promotional approach — not follower count. We reserve the right to reject any application without providing a reason.

1.3 One Account Per Person

Each individual or entity may hold only one affiliate account. Creating duplicate accounts — including accounts from the same IP address, device fingerprint, or email domain — is grounds for immediate termination of all associated accounts.

1.4 Account Security

You are responsible for keeping your affiliate login credentials secure. Any activity under your account is your responsibility. Notify us immediately at Contact Support if you suspect unauthorized access.

2.1 Lifetime Recurring

“Lifetime recurring” means you earn the commission rate on the initial sale and on every subsequent annual renewal made by the same customer — for as long as that customer remains subscribed, with no expiry on your attribution.

2.2 Pending Period

All commissions enter a 30-day pending period from the date of the qualifying purchase. This window covers our standard refund policy. Commissions on refunded or charged-back orders within this window are reversed. After 30 days, commissions are marked approved and included in the next payout cycle.

2.3 Performance Bonuses

Top-performing affiliates may be invited to enhanced commission tiers (up to 50%). Bonus rates are offered at our sole discretion and communicated directly to the affiliate. Bonus tiers require maintaining the qualifying performance level each month to remain in effect.

2.4 No Commission on Own Purchases

Commissions are not payable on purchases made by you, your immediate family members, your business partners, or any accounts you control. Self-referrals detected through email matching, IP matching, or device fingerprinting will be reversed and may result in account suspension.

3. Tracking & Attribution

3.1 Referral Cookie

When a visitor clicks your unique referral link (?ref=yourslug), a cryptographically signed tracking cookie (agentic_aff_ref) is stored in their browser. The cookie has a 90-day lifetime and uses HMAC-SHA256 signing with SameSite=Strict and HttpOnly flags for security.

3.2 Coupon Code Attribution

In addition to the cookie, each affiliate may receive a custom coupon code. Purchases made with your coupon code are attributed to your account even without a cookie present (e.g., incognito sessions, different devices).

3.3 Last-Click Attribution

If a customer clicks referral links from multiple affiliates, the most recent click within the 90-day window takes attribution precedence (last-click model). Coupon code attribution overrides cookie attribution if both are present.

3.4 No Guarantee of Tracking

We implement industry-standard tracking but cannot guarantee 100% attribution accuracy due to browser privacy features, ad blockers, or cookie deletion. We are not liable for untracked conversions.

4. Payout Terms

4.1 Minimum Threshold

Payouts are processed when your approved unpaid balance reaches $100 USD. Balances below this threshold carry forward to the next payout cycle.

4.2 Payment Method

All payouts are made via Stripe Connect. You must complete Stripe’s identity verification and connect your bank account before any payout can be processed. We do not pay via PayPal, check, wire transfer, or cryptocurrency.

4.3 Payout Schedule

Payouts are initiated on the first business day of each month for all approved balances that have completed the 30-day pending period. Processing time to your bank account varies by country (typically 1–5 business days after initiation).

4.4 First Three Payouts — Manual Review

Your first three payout requests undergo manual admin review as an anti-fraud measure. This review is typically completed within 2 business days. Subsequent payouts above the minimum threshold are processed automatically.

4.5 Taxes

You are solely responsible for reporting and paying all applicable taxes on commissions earned. We will issue a 1099-NEC (US affiliates earning over $600/year) or equivalent documentation as required by law. By accepting payouts, you confirm that all tax information you provided is accurate and current.

4.6 Forfeiture on Termination

If your account is terminated for violating these Terms, any pending or unpaid commissions are forfeited. Approved commissions earned prior to the violation date may be paid at our discretion.

5. Prohibited Conduct

Warning: Violation of any item in this section results in immediate account suspension, commission forfeiture, and potential legal action.

The following are strictly prohibited:

• Self-referrals: Purchasing through your own affiliate link or coupon code, directly or indirectly.
• Cookie stuffing: Artificially placing affiliate cookies in users’ browsers without their knowledge or consent.
• Ad hijacking: Bidding on branded keywords (“Agent Builder”, “agentic-plugin.com”) in paid search without prior written approval.
• Misleading claims: Making false statements about features, pricing, earnings potential, or any other aspect of Agent Builder or its affiliate program.
• Spam: Sending unsolicited commercial email or messages to promote your affiliate link.
• Incentivized clicks: Paying, gifting, or otherwise incentivizing users to click your referral link without also disclosing the affiliate relationship.
• Fake reviews: Posting fabricated testimonials or reviews without genuine first-hand experience with the product.
• Trademark infringement: Using “Agent Builder”, “agentic-plugin.com”, or our logos in domain names, app names, or branded social handles.
• Scraping or automation: Using bots or automated tools to generate artificial clicks, visits, or conversions.
• Promotion on objectionable content: Placing affiliate links on sites featuring illegal, hateful, adult, or misleading content.

6. FTC Disclosure Requirements

The U.S. Federal Trade Commission (FTC) requires that material connections between endorsers and advertisers be clearly disclosed. As an affiliate, you receive compensation for purchases made through your links. This constitutes a material connection that must be disclosed.

6.1 Required Disclosures

• In every piece of content (video, blog post, email, social post) that includes your affiliate link or coupon code, you must clearly disclose your affiliate relationship.
• Disclosure must be clear, conspicuous, and proximate to the affiliate link or endorsement — not buried in footers or fine print.
• Acceptable examples: “I earn a commission if you purchase through this link”, “Affiliate link — I may earn a small commission at no extra cost to you”, “This video is sponsored by Agent Builder / I’m an affiliate”.

6.2 Your Responsibility

You are solely responsible for compliance with all applicable advertising disclosure laws in your jurisdiction, including but not limited to FTC guidelines (US), CAP Code (UK), and GDPR requirements (EU). We are not liable for your non-compliance.

7. Intellectual Property & Brand Use

7.1 Limited License

Agentic Tech LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the Agent Builder name, logo, and approved marketing materials solely for the purpose of promoting the affiliate program in accordance with these Terms.

7.2 Restrictions

• Do not alter, modify, or create derivative versions of our logos or brand assets without written approval.
• Do not use our brand assets in any way that implies endorsement of your other products or services.
• Do not register domain names, social handles, or app names containing “Agent Builder” or “agentic-plugin”.

7.3 Your Content

You retain ownership of content you create to promote Agent Builder. By publishing promotional content, you grant Agentic Tech LLC a non-exclusive, royalty-free license to share, link to, or feature your content in our own marketing materials (with attribution).

8. Termination & Suspension

8.1 Termination by Us

Agentic Tech LLC may suspend or terminate your affiliate account at any time, with or without cause, with or without notice. Common grounds include: violation of these Terms, extended inactivity (12+ months with no referred clicks), program discontinuation, or our reasonable belief that your promotion methods are harmful to our brand.

8.2 Termination by You

You may close your affiliate account at any time by emailing Contact Support. Upon closure, you must remove all affiliate links from your content within 30 days.

8.3 Effect of Termination

Upon termination, your referral links cease to track conversions. Approved commissions earned before termination (and not subject to forfeiture under Section 4.6) will be paid in the next standard payout cycle if they meet the minimum threshold. Pending commissions may be forfeited depending on the reason for termination.

9. Fraud & Abuse Prevention

We employ automated fraud detection including but not limited to:

• IP address monitoring and rate limiting
• Device fingerprint analysis
• Self-referral detection (email, IP, and device matching)
• Conversion velocity analysis
• Order value anomaly detection

Referrals that exceed our fraud score threshold are automatically flagged for manual review. We reserve the right to reject any referral we reasonably determine to be fraudulent, regardless of whether fraud was committed by you or by a third party using your link.

Attempting to manipulate or circumvent our fraud detection systems is a violation of these Terms and may be reported to relevant authorities.

10. Limitation of Liability

The Agent Builder Affiliate Program and all associated tracking systems are provided “as is” without warranty of any kind. To the fullest extent permitted by law:

• Agentic Tech LLC is not liable for any lost profits, lost commissions, or other indirect damages arising from your participation in the program.
• Our total liability to you for any claim arising from these Terms shall not exceed the total commissions paid to you in the three months preceding the claim.
• We are not responsible for technical failures, tracking inaccuracies, or payment processor errors beyond our reasonable control.

11. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to your registered address at least 14 days before taking effect. Minor changes (clarifications, formatting) may be made without notice. Your continued participation after the effective date of any change constitutes acceptance.

Commission rates are subject to change with 30 days’ notice. Changes to commission rates apply to new referrals generated after the effective date; existing recurring commissions are honoured at the rate in effect at the time of the original sale.

12. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-law provisions. Any disputes shall be resolved through binding arbitration in Atlanta, Georgia, under the rules of the American Arbitration Association. You waive any right to participate in class-action proceedings.
